@VVS I bought the share a day or 2 before the books closed and Aguytrying ws confused and questioned why i couldnt wait for the closure, stating that the price will go down hard... thats why i say i got lucky i had change and decided to order for KEKE
So utakula 43 cents + any gains from the news. Knowing KEKE... they could close this in a hurry. I expect an EGM in 3-4 months in line with the release of 1H 2012 Results.

I wonder if a special dividend is on the way - some firms distribute a special dividend upon a takeover?

This also leads me to believe that a settlement with KPC is likely since MoE will stick its nose in the business of KK's takeover since it is the largest OMC in Kenya [& the region].

I hope KK settles it for a hefty sum/credit which would add value to KK's earnings & NAV.

Wait a minute, are they talking of take-over of majority shares or delisting?

I believe Puma has to acquire 80% of all outstanding shares to initiate a Takeover

1) Puma buys out 'major' shareholders [say 60%]
2) Puma applies to CMA to acquire an additional 20-40%
3) If Puma acquires at least 80%, then it can launch a compulsory takeover [which means it makes another offer to the rest]. Can also be de-listed unless exempted. In this scenario, there may be a compulsory buyout UNLESS one says they DON'T want to sell.
4) If 90% & over is acquired then a delisting can happen even for those who never sold.

Why would minority shareholders not sell?

1) Dead, stuck in limbo, etc [inactive shareholders]
2) Some feel the price is too low to sell
3) Inaction or defiance.

Should that be the case, how would we ensure we get a better price? i mean how do they calculate the offer price to the rest of the shareholders so that they takeover amicably

Gets complicated but the simplest is to offer the same price as offered to Majority shareholders...
