It is to the shareholders because the new shares affect the value of the old shares (dilutive effect) especially to those shareholders who do not take up the rights. For example, if I have 2 shares currently valued at 250/- and then you introduce a new share at 100/-, all the shares will automatically become worth 200/-.
Rights issue prices matter otherwise management would always be doing rights issues for even as low as one 1/- to raise capital. Remember that one tenet for them is to maximize value for all shareholders.
