PROPOSED INVESTMENTS BY NAIROBI BUSINESS VENTURES PUBLIC LIMITED COMPANY

Further to the cautionary announcement published on 1st April 2021, Nairobi Business Ventures Public
Limited Company (the Company) hereby announces that the Board of Directors (the Board) wish to notify
key stakeholders and the general public that the Board has approved the following transactions subject
to the shareholders’, third party and regulatory approvals. The proposed transactions comprise of the
following acquisitions:
(i) one hundred per-cent (100%) of the issued share capital in Delta Automobile Limited (Delta
Automobile). Delta Automobile is one of Kenya’s leading heavy commercial vehicle maintenance
firms. Delta Automobile manages, repairs and routinely maintains over 700 trucks and specializes
in the Renault and Volvo brands using its world class facilities;
(II) a parcel of land comprised in L.R. No. 11895/43 situate in Mavoko Municipality, Machakos
containing by measurement eleven decimal three three hectares (11.33Ha) (the Property) from
Shreeji Enterprises (Kenya) Limited/its subsidiary. The Company intends to set up on the Property
a cement manufacturing facility which the Company projects will cost Kenya Shilling fifteen billion
(KES. 15,000,000,000.00) to establish. The feasibility study for the construction of the facility has
been concluded and the preliminary work to establish the plant is currently being undertaken;
(III) one hundred per-cent (100%) of the issued share capital in Air Direct Connect Limited (Air Direct).
Air Direct is an aviation company that has been issued with an Approved Maintenance
Organisation (AMO) license and approvals by Kenya Civil Aviation Authority to carry out aircraft
maintenance work and is due to start operations soon in Kenya.
(iv) one hundred per-cent (100%) of the issued share capital in Aviation Management Solutions
Limited (AMSL). AMSL is company that holds aviation assets, that is, a hangar and building which
are strategically located adjacent to the Jomo Kenyatta International Airport.
The combined acquisition value of the transactions is approximately Kenya Shillings three billion (KES.
3,000,000,000.00) measured at market value.
