Minority shareholders need to form an association which can "collectively" deal with Minority rights. That said, these can be chaotic as well given some shareholders are just there for the goodies. I go for a few AGMs e.g. KK's AGMs. The majority of the shareholders are there for the food and gifts. It does not seem they have any interest in the proceedings. The rush for lunch is crazy and starts even before the AGM ends. At one AGM, one of those "vocal" shareholders had gone to the chairman and asked if the meeting could end early so the shareholders can attend another AGM!!! At I&M's AGM, the complaint was that it coincided with another AGM and the board should coordinate with other firms so the AGMs do not run concurrently. So who will fight for the minority shareholders if the minorities do not do so themselves? Do firms benefit from 1,000s of shareholders many of whom have just 100 shares? I can understand why some firms want to go private including Unga. It reminds me of one AGM i attended and the "vocal windbag" complained about being served tea/juice and cake/croissants etc. He actually expressed dissatisfaction with the previous AGM where they were served with juice,chai, cake, and what he loosely referred to as Mandazi. Instead of asking questions about an impending bond maturity and how management planned to settle it, the meeting quickly degenerated to kofias and handbags and other branded goodies such as pens and keyholders. Only one pensioner complained about dividend drought and heavy perks the management kept on receiving yet it was loss after loss year in year out...I agree, most minority shareholders are wazees(pensioners) who sometimes don't behave well.However, i understand them. Retirement is not a joke and the pensioners derive lots of pleasure travelling to Nairobi and visiting big hotels to attend these meetings. However, the sharks at NSE have noticed this naivety and will exploit it to the end. Unga minorities are not out of the woods yet. Dumb money becomes dumb only when it listens to smart money

They need to set up their own catering subsidiary to enforce the food quality themselves. Subcontracting should be left to Outstations only. The pax will always find out crap food.
